Welcome to uTrending and our website at utrending.com (the “Website”). These Terms of Service, together with our other policies, set out the terms (“Terms”) on which you may access and use the uTrending platform (“Platform”) and related services.

Please read these Terms carefully before using the Platform.
By accessing or using uTrending, you agree to be bound by these Terms.

1. About us

uTrending is operated by Ziken Labs Società a Responsabilità Limitata Semplificata, Via Vittore Carpaccio 18, 00147, Rome, Italy (“Ziken Labs”, “uTrending”, “we”, “us”, or “our”). uTrending is a digital platform that connects brands with a curated network of influencers and creators, facilitating tailored influencer marketing solutions.

2. The platform and our role

uTrending acts as a facilitator and intermediary between:

brands, agencies or companies seeking influencer marketing solutions (“Brands”) and
influencers, creators or talent registered on the Platform (“Influencers”).
uTrending is not a party to any direct agreement between Brands and Influencers, unless expressly agreed in writing.

We:

curate and manage a network of Influencers;
collect and analyze Brand requests;
propose custom solutions based on Brand needs;
facilitate communication, coordination and project execution.

We do not guarantee:

specific commercial outcomes,
performance metrics,
engagement levels,
sales, conversions or ROI.

3. Eligibility and accounts

To use the Platform, you must:

be at least 18 years old;
have legal capacity to enter into binding agreements;
provide accurate, current and complete information.

You are responsible for:

maintaining the confidentiality of your account credentials;
all activity carried out under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Services and projects

Brands may submit requests for influencer marketing campaigns or collaborations.
uTrending may propose:

one or more Influencers,
campaign structures,
Timelines,
indicative pricing or compensation models.

Unless otherwise stated:

campaign details are defined on a case-by-case basis;
pricing, scope and deliverables are agreed separately in writing;
no service is deemed confirmed until explicitly accepted by all parties.

5. Payments and fees

Where applicable:

Brands may be required to pay service fees to uTrending;
Influencer compensation may be managed directly or via uTrending, depending on the project.

Payment terms, fees, commissions and timelines will be:

clearly communicated;
agreed in writing prior to campaign execution.

uTrending is not responsible for:

delays caused by third-party payment providers;
disputes arising from agreements concluded outside the Platform.

6. Influencer content and intellectual property

Unless otherwise agreed:

Influencers retain ownership of their content;
Brands are granted usage rights strictly as defined in the campaign agreement.
uTrending does not acquire ownership of Influencer content, unless expressly stated.

Brands and Influencers are solely responsible for:

compliance with advertising, consumer and disclosure regulations;
correct use of intellectual property;
ensuring content does not infringe third-party rights.

7. No employment or agency relationship

Nothing in these Terms creates:

an employment relationship;
a partnership;
a joint venture;
an agency relationship

between uTrending and any Brand or Influencer. Influencers act as independent contractors.

8. Platform availability

The Platform is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted or error-free access and may:

Modify;
Suspend;
discontinue parts of the Platform at any time.

9. Disclaimer of warranties

To the fullest extent permitted by law:

we make no warranties regarding outcomes, performance or suitability;
we disclaim all implied warranties, including fitness for a particular purpose.

10. Limitation of liability

To the maximum extent permitted by applicable law, uTrending shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, data or business opportunities.

Nothing in these Terms excludes or limits uTrending’s liability for intentional misconduct (dolo), gross negligence (colpa grave), death or personal injury or any other liability that cannot be excluded or limited under Italian law or applicable consumer protection regulations.

Except for the foregoing mandatory cases, uTrending’s total aggregate liability shall not exceed the amounts paid by the User to the Company in the twelve (12) months preceding the claim.

11. User conduct

You agree not to:

misuse the Platform;
provide false or misleading information;
attempt to bypass platform processes;
use the Platform for unlawful or unethical purposes.

We reserve the right to remove content or suspend access in case of violations.

12. Termination

We may suspend or terminate access to the Platform:

Immediately;
without notice;

if these Terms are breached. Termination does not affect accrued rights or obligations.

13. Privacy and data protection

Personal data is processed in accordance with our Privacy Policy and applicable data protection laws (including GDPR).

14. Changes to these terms

We may revise these Terms from time to time. Updated versions will be published on the Website with the updated date.

Continued use of the Platform constitutes acceptance of the revised Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of Italy.
Any dispute shall be subject to the exclusive jurisdiction of the courts of Rome.
